Organizational change and ethics on CLEP Principles of Management: the 10 percent remainder that catches under-prepared readers
Together change and ethics carry roughly 10 percent of the exam, around 10 of 100 questions, in the under-covered remainder most prep books skip. This guide walks Lewin and Kotter on change, Kotter and Schlesinger's six resistance strategies, the three ethical frameworks (utilitarian, rights-based, justice-based), Kohlberg's stages of moral development, Carroll's CSR pyramid, and Sarbanes-Oxley at recognition level.

Organizational change and ethics on CLEP Principles of Management together carry roughly 10 percent of the exam, around 10 of 100 questions. The pillar identifies this as part of the under-covered "remainder" that prep books skip. This guide walks Lewin and Kotter on change, the three ethical frameworks (utilitarian, rights, justice), Carroll's CSR pyramid, and SOX at recognition level.
I took CLEP Principles of Management for the MAN 301 slot at Thomas Edison State University. Change and ethics were the block I almost under-prepared, because the four functions feel like the whole exam when you study from a typical textbook. They are not. The remainder carries enough question density to flip a borderline score.
Why change and ethics are the under-covered 10 percent
Honest framing: ten points is a pass-or-fail margin on the 20 to 80 ACE scale. On a 100-question exam where the cut score is 50 and most readers cluster in the 45 to 55 range, the 10 questions on change and ethics are the swing.
The pillar splits the exam into roughly 40 percent on the four management functions, 20 to 25 percent on motivation and leadership theories, and the rest across organizational structure, control systems, change, and ethics. This guide covers the change + ethics half of that remainder. Structure and control are covered in the four-functions guide; do not duplicate that prep here.
Three reasons the block gets under-prepared. Textbook chapters on change and ethics sit at the back of the book where readers run out of time. The named frameworks are fewer and less famous than Maslow or Herzberg. And ethics gets dismissed as common sense until the exam asks which of three philosophical frameworks justifies a decision. The frameworks are not common sense; they are specific named positions you either recognize or do not.
The block rewards recognition drilling at the same density as the rest of the exam. Kotter's eight steps, Lewin's three stages, the three ethical frameworks, Carroll's CSR pyramid, and Sarbanes-Oxley by name. Lock those five and you have most of the ten points.
Frequently asked questions
How is Kotter's model actually tested on the exam?+
Three patterns. Match a description to its step. Identify the missing step from a list of seven of the eight. Pick the failure mode (almost always premature victory at step 6 skipping 7 and 8). The eight steps in order: create urgency, form a coalition, create a vision, communicate the vision, remove obstacles, create short-term wins, build on the change, anchor in culture.
Which ethical framework is the exam looking for in a given scenario?+
The exam does not pick a winner; it tests whether you can match the framework to the rationale described. If the rationale is about totals and net outcomes, pick utilitarian. If the rationale is about respecting an individual right (privacy, dignity, free expression), pick rights-based. If the rationale is about fairness in how benefits and burdens are distributed across groups, pick justice. The three are presented as competing positions, not a hierarchy.
Is SOX tested in detail?+
No. Recognition level only. Know that SOX was the 2002 response to Enron and the early-2000s accounting scandals, and recognize three provisions: CEO/CFO certification of financial statements, internal control reporting, and auditor independence. The exam will not ask about specific sections, dollar thresholds, or accounting standards.
Alex Stone founded Flying Prep after earning her bachelor's degree from Thomas Edison State University using 27 CLEP and DSST exams to test out of 99 credits. She built Flying Prep to help working adults and returning students take the same path.
The exam tests recognition of change triggers as a setup for "which change model applies" questions. Two categories cover what the exam asks.
External triggers sit outside the organization's control. The five tested: technology (new production methods, software, automation), competition (new entrants, price wars), regulation (new laws and industry standards; Sarbanes-Oxley is the textbook example), customer expectations (shifts in demand, preferences, channels), and economic shifts (recession, inflation, supply-chain disruption).
Internal triggers originate inside the organization. The four tested: new leadership, declining performance (missed targets, margin compression), growth (scaling past structural capacity, M&A integration), and workforce composition (generational turnover, skill gaps).
The exam framing pattern: a scenario describes a trigger and asks which model applies (Lewin or Kotter) and which step fits.
Sources of resistance to change
Resistance is its own testable block. The five sources at recognition level: uncertainty (people resist what they cannot predict), habit (routines are cognitively cheap; change forces re-learning), fear of loss (status, security, social ties, or economic position), economic factors (compensation changes, role devaluation, benefit reductions), and selective information processing (filtering information that contradicts a preferred view).
Scenario form: "An employee dismisses the data the consultant presents because it contradicts her view of the team's effectiveness." Selective information processing.
Lewin and Kotter: the two named change models
The two change models you must know cold are Lewin's three stages and Kotter's eight steps. Everything else on the change side is supporting context.
Model
Stages
What it claims
Exam framing
Lewin's three-stage model
Unfreezing, Changing, Refreezing
Successful change requires loosening the forces that hold the status quo in place, moving to the new state, then stabilizing the new state so it does not snap back
"A manager communicates the urgency of change and demonstrates why the current process is failing." Unfreezing.
Kotter's eight-step model
1. Create urgency 2. Form a powerful coalition 3. Create a vision 4. Communicate the vision 5. Remove obstacles 6. Create short-term wins 7. Build on the change 8. Anchor in culture
Successful organizational change requires sustained executive commitment across eight sequential steps, with the failure mode being premature declaration of victory after early wins
"A leader celebrates an initial milestone and assumes the change is complete." Failure to complete steps 7 and 8.
Action research model
Diagnosis, Analysis, Feedback, Action, Evaluation
Change is a cyclical, data-driven process where each cycle informs the next intervention
Scenario form: "Consultants survey the workforce, share results back, take action, then re-survey." Action research.
Lewin is the simpler model and the one introductory textbooks lead with. The metaphor is an ice cube: you have to melt it (unfreezing) before you can reshape it (changing) and then re-solidify it in the new shape (refreezing). Unfreezing reduces the forces that maintain the current state by communicating the cost of staying put. Changing implements the new behavior, structure, or process. Refreezing institutionalizes the new state through revised policies, training, and reinforcement.
Kotter is the modern eight-step expansion. The four-functions guide mentions it briefly inside the controlling function; here is the full walk-through.
Create urgency: surface the data that makes the case for change.
Form a powerful coalition: assemble a guiding team with enough authority and credibility. A single executive sponsor is not enough.
Create a vision for change: a clear, communicable picture of the future state.
Communicate the vision: every channel, every meeting, every behavior. Kotter's claim is that leaders systematically under-communicate by an order of magnitude.
Remove obstacles: structural, procedural, and personnel barriers that block the change.
Create short-term wins: visible, unambiguous successes inside the first 6 to 18 months.
Build on the change: use credibility from short-term wins to drive deeper change. The mistake Kotter warns against is declaring victory too early after step 6.
Anchor the changes in corporate culture: until the change is encoded in culture, it is reversible.
The exam tests Kotter at three levels. Match a description to its step. Identify which step is missing from a list of seven. Pick the failure mode (the textbook answer is almost always premature victory at step 6, skipping 7 and 8).
The action research model is the third change framework worth recognizing. It is cyclical: diagnose the problem, analyze the data, feed the results back, take action, evaluate, repeat. The exam tests action research as the data-driven, consultant-led alternative to Lewin and Kotter.
Organizational development (OD) interventions are recognition-level only: sensitivity training (T-groups), survey feedback, process consultation, team-building, intergroup development, and appreciative inquiry (focus on what is working rather than what is broken). The exam will name one and ask which is being described.
Change drives the work; ethics frames the choices. Ten percent of the exam, often the most-skipped ten percent of the prep.
Kotter and Schlesinger: six strategies for overcoming resistance
The six-strategy framework from Kotter and Schlesinger is the highest-yield single block in the change section. The exam tests recognition of which strategy fits which situation.
Strategy
When to use
Tradeoffs
Education + communication
Resistance stems from lack of information or inaccurate information; people are reasonable and will accept change once they understand it
Slow if many people are involved; assumes good faith from resisters
Participation + involvement
Initiators do not have all the information needed; resisters have power to thwart the change
Time-consuming; can lead to inappropriate solutions if resisters lack expertise
Facilitation + support
People resist because of adjustment problems (skill gaps, emotional difficulty)
Time-consuming, expensive, and may still fail
Negotiation + agreement
A group with significant power will lose out in the change; explicit incentives or concessions can secure their compliance
Expensive; can signal to others that resistance pays
Manipulation + co-optation
Other tactics will not work or are too expensive; covertly shaping information or bringing resistance leaders into a symbolic role
Creates trust problems if discovered; leaders compromised by co-optation may push back later
Explicit + implicit coercion
Speed is essential; initiators possess considerable power
Risky; leaves people angry; only viable in genuine crisis
The exam framings are scenario-based. "A merger needs to be completed before the next quarter and the new CEO holds substantial authority over both organizations." Coercion. "The implementation team realizes the field office understands a customer-facing process better than headquarters does." Participation and involvement. "A vocal department head will lose budget under the new structure, but has board allies who could derail the change." Negotiation.
The framework's value on the exam is the explicit matching of strategy to situation. Drill the right column of the table (when to use) until the trigger phrases unlock the strategy name.
Learning organization and Senge's five disciplines
Senge's learning-organization concept is recognition-level coverage. The exam asks you to identify the five disciplines or attach the concept to Senge by name.
The five disciplines: personal mastery (individual commitment to lifelong learning), mental models (surfacing and challenging assumptions about how the world works), shared vision (alignment around a common future picture), team learning (collective dialogue and shared learning), and systems thinking (seeing patterns and interdependencies rather than isolated events).
Systems thinking is the named integrator. If the exam asks which of the five disciplines Senge identifies as the foundation, the answer is systems thinking.
The three ethical frameworks
The single highest-yield ethics block is the three normative frameworks. Every ethics scenario question on the exam can be answered by identifying which framework the question is asking you to apply.
Framework
Decision question
Exam-question example
Utilitarian
What outcome maximizes net benefit (the greatest good for the greatest number)?
"A manager decides to lay off 5 employees so that the remaining 95 keep their jobs and the firm survives." Utilitarian reasoning: more people benefit than are harmed.
Rights-based
What fundamental human rights does this action protect or violate (life, liberty, dignity, privacy, free expression)?
"A manager refuses to monitor employee email beyond what is needed for security, citing employee privacy." Rights-based reasoning: privacy is a fundamental right.
Justice-based / fairness
Is the distribution of benefits and burdens fair across affected parties?
"A manager allocates layoffs proportionally across departments rather than concentrating them in one group." Justice-based reasoning: fair distribution.
The exam frames these three as competing positions, not as a single right answer. A question may describe a decision and ask which framework justifies it. Another question may describe a framework and ask which decision it would recommend.
A few nuances. Utilitarian ethics traces to Bentham and Mill; the named theorists guide covers Mill at the broader social-science level. Rights-based ethics traces to Kant and the Enlightenment political philosophers (Locke, Rousseau). Justice-based ethics traces most directly to Rawls, though the exam rarely names Rawls directly.
The test-taking heuristic when a stem asks "which ethical framework supports this?": if the rationale is about totals and net outcomes, pick utilitarian. If the rationale is about respecting an individual right, pick rights-based. If the rationale is about who gets what across groups, pick justice.
Kohlberg's stages of moral development
Kohlberg's six stages of moral development are tested for recognition: match a motivation to its stage. The pattern is identical to how Piaget and Erikson are tested in psychology.
Level
Stage
Motivation
Exam scenario
Pre-conventional
1. Punishment-avoidance
"I obey because I will be punished"
An employee follows policy only when the supervisor is watching
Pre-conventional
2. Instrumental exchange
"I do what is in my self-interest and trade favors"
An employee helps a coworker only because she expects a return favor
Conventional
3. Good boy / good girl
"I do what earns approval from those close to me"
A manager makes decisions based on what will please the team
Conventional
4. Law-and-order
"I obey because the rules exist and society depends on rules"
An employee follows company policy regardless of outcome
Post-conventional
5. Social contract
"I follow rules that reflect a social agreement, and challenge rules that violate it"
An employee questions a policy that violates fairness
Post-conventional
6. Universal principles
"I act on internal ethical principles even against law or convention"
A whistleblower reports illegal activity at personal cost
Most adults reach stage 4. Few reach stages 5 or 6 consistently. The exam tests whether you can identify the stage from a described motivation.
Corporate Social Responsibility: classical, socioeconomic, and Carroll's pyramid
The CSR block is tested as a debate between two competing positions plus one integrating framework.
The classical view is Milton Friedman's: the social responsibility of business is to increase profits within the rules of the game (law and ethical custom). Managers serve shareholders; broader social responsibility is the domain of government and individual giving. The exam attaches "the social responsibility of business is to increase profits" to Friedman by name.
The socioeconomic view holds that managers have responsibilities to a broader set of stakeholders: customers, employees, suppliers, community, environment, and shareholders. The exam tests this as the counterpoint to Friedman.
Carroll's CSR pyramid integrates the two by stacking four levels: economic (be profitable), legal (obey the law), ethical (do what is right, fair, and just), and philanthropic (be a good corporate citizen). The pyramid orders the four from required (economic, legal) through expected (ethical) to desired (philanthropic). The exam tests recognition of the four levels and their order, and attaches the pyramid to Carroll by name.
The related distinction is stockholder vs stakeholder theory. Stockholder theory holds that managers serve shareholders only (Friedman's position, formalized). Stakeholder theory holds that managers balance the interests of multiple groups with legitimate claims on the firm. The exam tests this as a vocabulary contrast.
Sarbanes-Oxley at recognition level
Sarbanes-Oxley (SOX, 2002) is tested at recognition level. The exam will not ask about specific sections or accounting detail, but will ask you to identify SOX as the response to the Enron scandal and to recognize three provisions: CEO and CFO certification of financial statements (senior executives personally certify the accuracy of financial reports under criminal penalty), internal control reporting (management must assess and report on the effectiveness of internal financial controls), and auditor independence (auditors cannot provide certain consulting services to the same firm they audit; mandatory audit partner rotation).
Whistleblowing is tested as a vocabulary contrast: internal whistleblowing (reporting concerns within the organization through formal channels) vs external whistleblowing (reporting to regulators, media, or law enforcement). SOX and Dodd-Frank both provide legal protections against retaliation; recognition level only.
Ethics programs are tested at recognition: codes of ethics, ethics training, ethics officers, ethics hotlines, and ethics audits.
Globalization and ethics brings two competing positions. Cultural relativism holds that ethical standards vary by culture and managers should follow local norms. Ethical absolutism holds that some standards are universal and apply regardless of local practice. The Foreign Corrupt Practices Act (FCPA) prohibits US firms from bribing foreign officials and is the most-tested named statute in this block. The OECD Anti-Bribery Convention extends similar prohibitions to participating countries; recognition only.
Memorization sequence: change and ethics in 45 minutes
A focused drill that locks in the 10-percent remainder. Done across two sessions in the week before test day, this picks up most of the change and ethics questions on a typical form.
Minutes 0 to 10: change triggers and resistance. Five external triggers (technology, competition, regulation, customer expectations, economic shifts) and four internal triggers (new leadership, declining performance, growth, workforce composition). Five sources of resistance (uncertainty, habit, fear of loss, economic factors, selective information processing).
Minutes 10 to 22: Lewin and Kotter. Lewin's three stages (unfreezing, changing, refreezing). Kotter's eight steps in order. Drill the failure mode: premature victory at step 6 skipping 7 and 8. Add action research (diagnosis, analysis, feedback, action, evaluation).
Minutes 22 to 30: Kotter and Schlesinger plus Senge. Six resistance strategies (education, participation, facilitation, negotiation, manipulation/co-optation, coercion) with the trigger phrase for each. Senge's five disciplines (personal mastery, mental models, shared vision, team learning, systems thinking).
Minutes 30 to 38: three ethical frameworks plus Kohlberg. Utilitarian (greatest good), rights-based (fundamental rights), justice-based (fair distribution) with the decision question for each. Kohlberg's six stages by motivation (punishment-avoidance, instrumental exchange, good boy/good girl, law-and-order, social contract, universal principles).
Minutes 38 to 45: CSR and SOX. Friedman's classical view vs the socioeconomic view. Carroll's pyramid in order (economic, legal, ethical, philanthropic). SOX (Enron response: CEO/CFO certification, internal control reporting, auditor independence). FCPA as the named globalization statute.
The drill is recall-from-blank, not re-read. Recognition is built by retrieval.

What about whistleblowing scenarios?
+
Tested as a vocabulary contrast: internal whistleblowing (reporting concerns within the organization through formal channels like an ethics hotline) vs external whistleblowing (reporting to regulators, media, or law enforcement). SOX and Dodd-Frank provide legal protections against retaliation; recognition only.
How is the CSR debate framed on the exam?+
As a contrast between Friedman's classical view (the social responsibility of business is to increase profits) and the socioeconomic view (managers serve a broader set of stakeholders), with Carroll's pyramid as the integrating framework. Carroll's pyramid orders four responsibilities from required (economic, legal) through expected (ethical) to desired (philanthropic). Drill the four levels in order; the pyramid is the highest-yield single CSR item.
Do I need to memorize Kohlberg's six stages by number?+
Yes, by motivation more than by number. The exam describes a motivation ("an employee follows policy only when the supervisor is watching") and asks which stage. Pre-conventional level 1 is punishment-avoidance and is the answer in that example. Most adults reach stage 4 (law-and-order); recognize stages 5 and 6 as post-conventional rarities.
How does this overlap with DSST Organizational Behavior?+
DSST OB covers organizational change at greater behavioral depth but covers ethics more lightly. Kotter and Lewin appear on both. If you have already passed DSST OB, the change models are review and ethics is mostly new.
What is the single highest-yield item to drill in this block?+
Kotter's eight steps in order, with the premature-victory failure mode at step 6 attached. The exam tests Kotter at three levels and the eight-step sequence is the gateway to all three.
